PORT OF SUNNYSIDE
MINUTES OF THE STUDY SESSION/BUSINESS MEETING
Held February 3, 2010

The February 3, 2010 Study Session/Business Meeting was called to order at 5:15 p.m. by President Matson. The meeting was held at the Port of Sunnyside Administration Office at 520
S. 7th St., Sunnyside, WA.

Commissioners and Staff present at the Study Session & Business Meeting:
Jeff Matson, Arnold Martin, Jim Grubenhoff; Commissioners;
Amber Hansen, Executive Director;
Jay Hester, Property Development & Project Manager;
Gary Holwegner, Sprayfield Manager;
Vernita Coffey, Administrative Assistant; and
Steve Winfree, Legal Counsel

EXECUTIVE DIRECTOR: Ms. Hansen presented a written report and the following items were discussed;(written report available upon request).

Ms. Hansen reported that Bill Flower and Mary Lee Robinson are proposing a plan to improve
the uptown Sunnyside appearance by installing 120 hanging flower pots along 6th Street,
Decatur, Franklin, 5th Street and Edison to Yakima Valley Highway. Ms. Hansen requested
thoughts and comments from the commissioners regarding the Port of Sunnyside contributing to this community beautification project. Commissioners and staff thought it would be appropriate
to contribute $500.00 to the project.

PROPERTY, DEVELOPMENT AND PROJECT MANAGER: Mr. Hester presented a written report and the following items were discussed;(written report available upon request).

Mr. Hester indicated that the City of Sunnyside should have our plan review done soon and that we should be ready to go out for bid then on the Midvale Industrial Rail Park project.

Mr. Hester featured pictures of the progress on the JD 33.4 piping project. He stated that Gary and Gil have been very instrumental in making sure our irrigation deliveries and drains were protected and improved during the piping of Duffy Road.

Mr. Hester reported that SVID has received from Union Pacific their portion of the JD 33.4 piping project. Yakima County has been billed for their portion as well.

SPRAYFIELD MANAGER: Gary Holwegner presented a written report and the following items were discussed; (written report available upon request).

Mr. Holwegner reviewed his plan for changing our rotational practices due to the large amounts of soil amendment (gypsum) needed to reclaim our fields from the high sodic conditions. Mr. Holwegner indicated that he and Mr. Farrell always thoroughly discuss any ideas of change and work together on what are the best options for the soil while keeping the Port in compliance with our Dept. of Ecology permit.

Mr. Holwegner readdressed the subject of replacing the John Deere backhoe that has been recently surplused.

STAFF COMMENTS: Ms. Hansen reminded the commissioners that their PDC forms are due by April 15, 2010.

Ms. Coffey informed the commissioners that she would be having surgery March 3, 2010 and would be out of the office until released by the doctor to return to work.

Mr. Hester reported on the NWFPA trade show and the contacts they made, including a fruit company interested in the former Sun Ridge building. Commissioner Matson suggested that we might consider working with Grandview and combining our booths into one double sized booth next year for a greater coverage and a joined forces appearance for the Lower Yakima Valley.

COMMISSIONERS COMMENTS:Commissioner Grubenhoff stated that his first month as a
commissioner has gone by fairly smooth and he appreciates every ones assistance and is
enjoying his commission.

Commissioner Matson and Martin commented on the visit with the State Legislators stating that it was a very relaxed atmosphere and they had some good discussions.

CITIZEN COMMENTS: Vern Anderson mentioned that his wife had her 2nd cataract surgery recently.

ACTION ITEMS: Action items were taken on Wednesday, February 3, 2010, (unless otherwise noted).

The consent agenda includes the minutes of the Port Meetings held on January 18/20, 2010. Payables in the amount of $204,489.62 for issue on February 3, 2010, payroll in the amount of $19,595.22 for issue on January 20, 2010, and payroll in the amount of $2,289.76 for issue on February 3, 2010 totaling $226,374.60. Commissioner Grubenhoff moved to approve,
Commissioner Martin seconded, motion carried.

Approve Resolution 2010-02 "A Resolution of the Port Commission of the Port of Sunnyside, Yakima County, Washington, approving an agreement between the Washington State Community Economic Revitalization Board ("CERB") and the Port of Sunnyside for aid in financing the costs of public facilities consisting of the construction of a railroad spur, public road, domestic water, sewer and industrial wastewater treatment lines in the Midvale Rail Industrial Park and authorizing and directing the Port of Sunnyside Executive Director to execute such agreement on behalf of the Port of Sunnyside." Commissioner Martin moved to approve, Commissioner Grubenhoff seconded, motion carried.

Approve Change Order #002 on the De-watering system, requesting an additional 31 days for substantial completion and no additional costs. Commissioner Grubenhoff moved to approve, Commissioner Martin seconded, motion carried. After discussion by the commissioners the 31 additional days requested were clarified as 14 days for the pump and 17 days for the MCC unit.

Approve SVID easement for JD 33.4 piping project and authorize Mr. Hester to sign on behalf
of the Port. Commissioner Martin moved to approve, Commissioner Grubenhoff seconded, motion carried.

NOTICE ITEMS: Amber will be at the Trade Show in California the week of Feb. 7th.

Sunnyside Chamber of Commerce Banquet is scheduled for March 13, 2010.

PNWA has arranged three Columbia Snake River System projects to be toured during the Corps’ annual March lock outage. The tour of Bonneville Lock and Dam and the Dalles Lock and Dam is Wednesday, March 17, 2010 at 10:00 a.m. and the tour of Lower Monumental Lock and Dam is on Thursday, March 18, 2010 at 9:30 a.m.

ADJOURNMENT: The Study Session/Business Meeting was adjourned at 6:44 p.m., peace and harmony prevailing.
